Acceptance of These Terms

These Terms of Service (“Terms”) is an agreement between the user of this Website (“you”) and Vera Dorzhinova doing business as Veriterra Lab, 2010 El Camino Real # 1207, Santa Clara, CA 95050 (“us,” “we,” “our”). 

These Terms, together with our Privacy Policy, govern your access to and use of this Website and all content, functionality, and services we offer on or through this Website, including soil biology assessments (collectively “Services”). By accessing or using any of our Services (even just browsing our Website), you agree to be bound by both these Terms and our Privacy Policy. If you don’t agree with any of our terms and policies, you may not use our Services.

Changes to These Terms

Veriterra Lab reserves the right to modify or amend these Terms at any time to reflect changes to our Services, or for legal or regulatory reasons. We will notify you of any changes to these Terms by posting the updated version of the Terms to this Website and updating its effective date. We encourage you to periodically check this page for any changes to these Terms. If you do not agree with any changes to these Terms, you should stop using our Services. Your continued access to or use of our Services after the changes to these Terms have taken effect means that you agree to those changes.

Your Use of Our Services

Age requirements. You must be 18 years or older to access and use our Services. If you are under 18 but at least 13 years old, you may only use our Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

Content. The information presented on or through this Website is for informational purposes only. This Website is not providing advice on soil management practices. By simply visiting this Website, you are not a client or customer of Veriterra Lab. 

Modifications to the Services. We reserve the right to modify, suspend or discontinue any aspect of our Services, including descriptions, availability and prices of our products and services, this Website, its content and functionality, at any time without notice. We will not be liable to you or to any third-party for the effect that any modification, price change, suspension or discontinuance of any of our Services may have on you.

Orders. We reserve the right, without prior notice, to limit the order quantity on any product or service, cancel any order and/or refuse service to any customer, at our discretion, if we believe that customer has violated these Terms . If your transaction has been confirmed for an order that is later canceled, Veriterra Lab shall issue you a refund.

Payments. You agree to provide current, complete and accurate payment and contact information for all purchases made through our Website, so that we can complete your transactions and contact you as needed. 

Soil Biology Testing Services. Veriterra Lab offers assessments of soil, compost, and (depending on your location) compost tea and extract on the following terms: 

  • We are currently accepting up to 20 samples for the Routine or Full Assessment ($80 or $110 per sample) and up to 20 samples for the Quick Assessment ($50 per sample) but no more than 25 samples per shipment.
  • Payment must be received before samples are mailed in or included with the samples.
  • Completed Order Form must be included with your samples or emailed to us.
  • You are responsible for contacting us before collecting and sending your samples to confirm our availability on anticipated arrival date. You can do it by submitting your Sample Inquiry Form, filling out a comment section during checkout or via email/phone.    
  • You are responsible for all costs related to the packaging and shipping of the sample material. 
  • Allow 1 to 5 days from the delivery date for issuing your report

Prohibited Uses

You may only use our Services for lawful purposes and in compliance with these Terms and all applicable laws. By accessing or using our Services, you agree to the following:

  • Don’t use our Services to harm Veriterra Lab. This includes attacking, crawling or scraping our Website, transmitting viruses or other malicious code, or trying to disrupt our Services in any other way.
  • Don’t use our Services to violate any laws. This includes compliance with all local, state, federal, and international laws that may apply to you. You may not use our Services to commit a crime, infringe anyone’s intellectual property rights, engage in fraud (including false claims or infringement notices) or any other unlawful activities.

Comments and Feedback

We love hearing from you and are always looking to improve our Services. When you share comments, ideas, suggestions or feedback with us, you agree that we’re free to use them and ideas generated from them without any restriction, attribution or compensation to you.

All elements of this Website, including without limitation text, pdf files, graphics, artwork, images, photographs, video, audio, designs, icons (collectively, “Content”), design and layout, source code and software belong exclusively to Veriterra Lab or its software suppliers and are all protected by U.S. and international copyright laws and other intellectual property laws. 

This Website and its Content, including downloadable materials, are intended solely for your personal, non-commercial use. No right, title or interest in and to any Veriterra Lab or third-party intellectual property is granted or transferred to you under these Terms or by your use of our Services. You may not copy, reproduce, publish, post, transmit, distribute, display, perform, alter, modify, create derivative works from, license, sell or otherwise use any of the Content or the Website for any public or commercial purpose.

Veriterra Lab name and logo, and all other names, logos, product and service names, graphics, and slogans used in connection with our Services are trademarks and service marks of Veriterra Lab. Other trademarks, service marks and logos used or displayed on this Website may be the trademarks or registered trademarks, trade names and service marks of third parties. Using our Services doesn’t grant you any right or license to reproduce or otherwise use such marks of Veriterra Lab or third parties.

We don’t like to say it but—our relationship can be terminated by either you or us at any time.

Our right to terminate. We reserve the right to terminate, suspend or restrict your access to some or all of our Services immediately, without prior notice or liability, for any or no reason and at our discretion, including without limitation if:

  • You breach these Terms 
  • We’re required to do so to comply with the law.
  • We believe that termination is necessary to prevent harm to you, our users, us or third parties.

At Veriterra Lab we are dedicated to providing great services, but there are certain aspects that we can not guarantee. 

All our Services, including this Website, are provided to you “AS IS” and on an “AS AVAILABLE” basis without warranties of any kind. To the fullest extent permitted by law, Veriterra Lab and its service providers expressly disclaim all warranties, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, title or non-infringement, as well as any warranties that may arise out of course of dealing, course of performance, usage or trade.

Veriterra Lab and its service providers do not guarantee that: (I) our Services will be available at any particular time or location; (II) your use of our Services will be uninterrupted, timely, secure or error-free and any defects or errors will be corrected; (III) the Services, the content, or e-mails sent from or on behalf of Veriterra Lab are free of viruses or other harmful components. (IV); information contained on this Website is accurate, complete, reliable, error-free or up-to-date; (V) the information or results obtained from use of our Services will meet your needs or expectations. You agree that your use of, or inability to use, our Services is solely at your own risk.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event and regardless of legal theory (including, but not limited to, contract, tort, strict liability, negligence or otherwise) shall Veriterra Lab and its service providers be liable for any special, indirect, incidental, punitive, exemplary or consequential damages of any kind, including, but not limited to, damages for loss of profits, goodwill, data or other intangible losses, for business interruption, property damages or personal injury arising out of or relating to the use of or inability to use the Services or these Terms, even if Veriterra Lab or any supplier has been advised of, knew or should have known about the possibility of such damages and even if all other remedies fail.

Besides the types of liability we cannot limit by law, in no event shall the total liability of Veriterra Lab and any of its suppliers for any damages exceed the greater of $50 or the amount you paid Veriterra Lab under these Terms in the three (3) months before you first assert a claim.

The above limitations may not apply in some jurisdictions.

Indemnification

What Happens If You Get Us Sued

We hope this never happens, but if Veriterra Lab gets sued because of something that you did, you agree to indemnify and defend us. That means you agree to indemnify and hold harmless Veriterra Lab and its service providers from and against any claims, demands, liabilities and expenses, including lawyer’s fees, that arises from or related to your use of our Services, including but not limited to your breach of these Terms or your violation of any law or the rights of a third-party.

Informal Resolution

If you have any issue with our Services, you agree to first try to resolve a dispute with us informally by sending notice to [email protected]. If your issue or dispute is not resolved satisfactorily within thirty (30) days after we receive this notice, then the rules below will govern any legal dispute relating to our Services. 

Governing Law and Jurisdiction

Our Services are not intended for use outside of the United States. These Terms and any access to or use of our Services will be governed by the laws of the United States and the laws of the state of California, regardless of conflict of laws rules. 

Any claims and disputes arising out of or relating to the Terms and any access to or use of our Services will be litigated exclusively in Santa Clara County, California. You and Veriterra Lab consent to venue and personal jurisdiction in Santa Clara County, California.

Note! To the extent permitted by applicable law, the informal resolution process described above is a precondition to pursuing any other process, so please remember to contact us first.

Other legal information

Entire Agreement. These Terms and our Privacy Policy, constitute the entire agreement between you and Veriterra Lab and supersede any other agreement between you and Veriterra Lab regarding the Services.

Waiver. If we fail to enforce any part of the Terms, that doesn’t mean we’re waiving our right to later enforce that or any other part of the Terms.

Severability. If any part of the Terms is found to be invalid or unenforceable, that part is severable from the Terms, and does not affect the validity or enforceability of the rest of the Terms. 

Assignment. Veriterra Lab may assign its rights under the Terms without condition. You may only assign your rights under the Terms with our prior written consent.

Survival. Any part of these Terms that by their nature should survive after termination of these Terms will survive.
